NOTICE TO USER: PLEASE READ THIS CONTRACT CAREFULLY. BY CLICKING "I ACCEPT" BELOW AND LICENSING THIS SOFTWARE, YOU ACCEPT ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT ("Agreement"). YOU AGREE THAT THIS AGREEMENT IS ENFORCEABLE LIKE ANY WRITTEN NEGOTIATED AGREEMENT SIGNED BY YOU. IF YOU DO NOT AGREE, DO NOT USE THIS SOFTWARE. IF YOU ACQUIRED THE SOFTWARE ON TANGIBLE MEDIA WITHOUT AN OPPORTUNITY TO REVIEW THIS LICENSE AND YOU DO NOT ACCEPT THIS AGREEMENT, YOU MAY OBTAIN A REFUND OF THE AMOUNT YOU ORIGINALLY PAID IF YOU: (A) DO NOT USE THE SOFTWARE AND (B) RETURN IT, WITH PROOF OF PAYMENT, TO THE LOCATION FROM WHICH IT WAS OBTAINED WITHIN FIFTEEN (15) DAYS OF THE PURCHASE DATE. \

This Agreement governs the use of Blacksmith Technologies, Inc. (*"Blacksmith") software ("Software") which includes all of the contents of the files, disk(s), CD(s), DVD(s) or other media with which this Agreement is provided, including but not limited to third party information or software; images, clip art, sounds; related explanatory written materials or files; and upgrades, modified versions, updates, additions, and copies of the Software, if any, licensed to you by Blacksmith.\
This Agreement addresses Chartsmith Software. In return for acquiring a license to use the Software and Documentation, you agree to the following terms and conditions:\
\f0\b0 . You may access, install, download, copy or otherwise benefit from using the functionality of the Software ("Use") on a single central processing unit or on a multiuser system provided that the Use of the Software is limited according to the Licensing Policy. The Licensing Policy is that one license must be purchased for each computer upon which the Software will be executed OR one license must be purchased for each user who will EVER Use the Software, which ever is less. \

\f1\b 1.1 Backup Copy.
\f0\b0 You may make one backup copy of the Software, provided your backup copy is not installed or in Use on any computer. You may not transfer the rights to a backup copy unless you transfer all rights in the Software as provided in the Transfer section in this Agreement."\

\f1\b 2. Assignment
\f0\b0 . You may assign your rights under this agreement to a third party who notifies Blacksmith in writing that it agrees to be bound by this agreement prior to the assignment, provided that you transfer all copies of the Software and the Documentation in any form to the third party or destroy the copies not transferred. Except as set forth above, you may not assign your rights under this agreement or loan, rent, lease, or transfer the Software.\

\f1\b 3. Proprietary Rights.
\f0\b0 You acknowledge that the structure and organization of the Software are valuable trade secrets of Blacksmith and its suppliers licensed to you on a nonexclusive basis. You agree to hold such trade secrets in confidence. You further agree not to translate, disassemble, decompile or reverse engineer the Software, in whole or in part. The Software is protected by copyright, including without limitation by United States Copyright Law, international treaty provisions and applicable laws in the country in which it is being Used. You may not copy the Software, except as set forth in Section 1.1. Any copies that you are permitted to make pursuant to this Agreement must contain the same copyright and other proprietary notices that appear on or in the Software. You further agree not to translate, disassemble, decompile or reverse engineer the Software, in whole or in part. \

\f1\b 4. No Other Rights
\f0\b0 . Blacksmith and its suppliers retain title and ownership of the Software, the media on which it is recorded and all subsequent copies of the Software, regardless of the form or media in or on which the original and other copies may exist. Except as stated above, this Agreement does not grant you any right to patents, copyrights, trade secrets, trademarks, or any other rights in respect of the Software and Documentation.\

\f1\b 5. Term
\f0\b0 . This license is effective until terminated. This license will automatically be terminated without notice if you fail to comply with any term or condition of this Agreement. Upon any such termination, you must destroy the original and any copies of the Software and its Documentation. This remedy shall be in addition to any other remedies available to Blacksmith.\
\
\f1\b 6. Limited Warranty
\f0\b0 . For a period of ninety (90) days from the date of original purchase, Blacksmith warrants to you that the Software will perform substantially in accordance with the documentation as long as the original purchaser owns it and when it is used on the recommended operating system and hardware configuration. You must return the software to the location where you obtained it with a copy of your receipt to be eligible for warranty service. Non-substantial variations of performance from the Documentation does not establish a warranty right. THIS LIMITED WARRANTY DOES NOT APPLY TO PATCHES, PRE-RELEASE, TRYOUT, EVALUATION, OR PRODUCT SAMPLER. To make a warranty claim, you must return the Software to the location where you obtained it along with proof of purchase within such ninety (90) day period. If the Software does not perform substantially in accordance with the Documentation, the entire liability of Blacksmith and your exclusive remedy shall be limited to either, at Blacksmith's option, the replacement of the Software or the refund of the license fee you paid for the Software.

\f1\b DOES NOT AND CANNOT WARRANT THE PERFORMANCE OR RESULTS YOU MAY OBTAIN BY USING THE Software.
\f0\b0 THE FOREGOING STATES THE SOLE AND EXCLUSIVE REMEDIES Blacksmith WILL PROVIDE FOR BREACH OF WARRANTY. EXCEPT FOR THE FOREGOING LIMITED WARRANTY Blacksmith MAKES NO WARRANTIES EXPRESS OR IMPLIED AS TO NONINFRINGEMENT OF THIRD PARTY RIGHTS, MERCHANTABILITY, OR FITNESS FOR ANY PARTICULAR PURPOSE. Some states or provinces do not allow the exclusion of implied warranties or limitations on how long an implied warranty may last, so the above limitations may not apply to you. This warranty gives you specific legal rights. You may have other rights which vary from state to state or province to province.\

\f1\b 7. Limit of Liability.
\f0\b0 IN NO EVENT WILL Blacksmith BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING BUT NOT LIMITED TO DAMAGES FOR ANY LOST PROFITS, LOST MONIES, LOST TIME, LOST SAVINGS, BUSINESS INTERRUPTION, LOSS OF DATA, DATA BEING RENDERED INACCURATE, OR OTHER DIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES), REGARDLESS OF THE FORM OF ACTION, ARISING OUT OF THE USE OR INABILITY TO USE THIS SOFTWARE, DOCUMENTATION, OR DISTRIBUTION MATERIALS, EVEN IF Blacksmith HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY. Some states or provinces do not allow the exclusion or limitation of liability for incidental or consequential damages, so the above limitations may not apply to you. \

\f1\b 8. Choice of Law.
\f0\b0 This Agreement will be governed by the laws in force in the Commonwealth of Virginia, United States of America. This agreement will not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded.\

\f1\b 9. Integration.
\f0\b0 You acknowledge that you have read this Agreement, understand it and that it is the complete and exclusive statement of your agreement with Blacksmith which supersedes any prior agreement, oral or written between Blacksmith and you. No variation of the terms of this Agreement will be enforceable against Blacksmith unless Blacksmith gives its express consent, in writing signed by an officer of Blacksmith.\
\
\f1\b 10. General Provisions.
\f0\b0 If any part of this Agreement is found void and unenforceable, it will not affect the validity of the balance of the Agreement, which shall remain valid and enforceable according to its terms. This Agreement shall not prejudice the statutory rights of any party dealing as a consumer. This Agreement may only be modified by a writing signed by an authorized officer of Blacksmith. Updates may be licensed to you by Blacksmith with additional or different terms. The English version of this Agreement shall be the version used when interpreting or construing this Agreement. This is the entire agreement between Blacksmith and you relating to the Software and it supersedes any prior representations, discussions, undertakings, communications or advertising relating to the Software.\

\f1\b Notice to Government End Users

The enclosed Software were developed at private expense and no portion of the Software is in the public domain. The Software is furnished to the Government licensee as "Restricted Computer Software" as that term is defined in Federal Acquisition Regulation ("FAR") 52.227-19 and is "Commercial Computer Software" as that term is defined in Department of Defense Federal Acquisition Regulation Supplement ("DFARS") 227.471.\
\f0\b0 \cf0 As such, the Government licensee agrees that the Software is supplied to the Government pursuant to FAR 52.227-19 (c)(2) or DFARS 252.227-7013(c)(1), as applicable.\
